Terms of Service

These Terms of Service (“Terms”) form a binding legal agreement between you and PBG Solutions LLC, a Georgia limited liability company doing business as PBG Fitness (“PBG Fitness,” “we,” “us,” or “our”), governing your access to and use of our mobile applications, websites, and related services (the “Service”).

Please read these Terms carefully. They contain important information, including a binding arbitration clause and a class action waiver in Section 18.

By creating an account, starting a free trial, purchasing a subscription, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old to create an account. If you are between 13 and 17, you represent that you have your parent or legal guardian’s permission to use the Service. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

You must provide accurate, current, and complete information during registration and keep it updated.

2. Your Account

You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. Notify us immediately at support@pbgfitness.com of any unauthorized access. We are not liable for any loss or damage arising from your failure to safeguard your credentials.

You may close your account at any time from within the Service. Upon closure, your data is deleted in accordance with our Privacy Policy.

3. Subscriptions, Free Trials, and Billing

PBG Fitness offers a Free tier and a paid Elite tier.

3.1 Plans

• Free: basic workout and meal tracking. No card required. No trial period.
• Elite Monthly: $19.99 per month, billed monthly, includes a 7-day free trial.
• Elite Annual: $199 per year, billed annually, includes a 7-day free trial.

Pricing may change. We will provide notice of any price changes before they apply to you.

3.2 Free Trial Disclosure

When you start an Elite subscription, you receive a 7-day free trial. You must provide a valid payment method to begin the trial. Unless you cancel before the trial ends, you will be automatically charged the full subscription price at the end of the trial. You may cancel at any time during the trial without charge.

3.3 Auto Renewal

Your Elite subscription renews automatically. At the end of each billing period (monthly or annual), your subscription will renew at the then-current price unless you cancel. You will be charged within 24 hours of the renewal date. By starting a subscription, you authorize Apple, Google, or our payment processor to charge your payment method on a regular schedule.

3.4 How to Cancel

You can cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to Elite features until the end of that period.

iOS users: manage and cancel your subscription through Settings on your Apple device or through the App Store. Instructions: open Settings, tap your name, tap Subscriptions, select PBG Fitness, and tap Cancel Subscription.

Android users: manage and cancel your subscription through Google Play. Instructions: open the Google Play Store, tap your profile icon, tap Payments and subscriptions, tap Subscriptions, select PBG Fitness, and tap Cancel subscription.

Web users (if applicable): manage your subscription from your account settings inside the Service.

We are unable to cancel App Store or Google Play subscriptions on your behalf. You must complete cancellation through the platform that processes your subscription.

3.5 Refunds

All charges are final and non-refundable except where required by law. Apple and Google control their own refund policies. To request a refund:

• iOS users: request through Apple at reportaproblem.apple.com.
• Android users: request through Google Play at play.google.com.

We do not process refunds directly for subscriptions purchased through Apple or Google.

3.6 Trial Expiration Reminder

Approximately 24 hours before your free trial ends, we will send you a reminder email at the address associated with your account. This is a courtesy. The reminder does not waive your obligation to cancel before the trial ends if you do not wish to be charged.

3.7 Failed Payments

If a payment fails, your subscription may be paused or downgraded to the Free tier. We will attempt to notify you so you can update your payment method.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
• Modify, adapt, translate, or create derivative works based on the Service
• Remove, obscure, or alter any proprietary notices or labels
• Use the Service to harass, abuse, harm, defame, or impersonate any person
• Upload viruses, malware, or any other malicious code
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to the Service, other users’ accounts, or our systems
• Use automated means (bots, scrapers, crawlers) to access the Service without our written permission
• Resell, sublicense, or redistribute the Service or any of its content
• Use the Service to develop or train competing AI models or fitness applications

We reserve the right to suspend or terminate any account that violates these terms.

5. User Content

You retain ownership of any content you submit to the Service, including workout entries, meal logs, photos, measurements, and AI Assistant chat messages (“User Content”).

By submitting User Content, you grant PBG Solutions LLC a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, and display your User Content solely for the purpose of operating, providing, and improving the Service for you. We do not use your User Content for advertising. We do not share or sell your User Content. This license terminates when you delete the content or close your account, except to the extent we must retain copies for legal compliance, fraud prevention, or backup purposes.

You represent and warrant that you own or have the necessary rights to all User Content you submit, and that your User Content does not violate the rights of any third party.

6. AI Features and Disclaimer

PBG Fitness includes features powered by artificial intelligence, including but not limited to the AI Assistant chat, the AI Plan Builder, and meal photo analysis. These features use third-party AI models operated by Anthropic, PBC.

You expressly acknowledge and agree to the following:

• The AI Assistant is not a doctor, registered dietitian, certified personal trainer, physical therapist, mental health professional, or any other licensed expert.
• AI-generated content is not medical advice, nutritional advice, training advice, or therapeutic advice.
• AI-generated content is generated by an automated system and may be inaccurate, incomplete, biased, or inappropriate for your specific situation, body, history, or goals.
• AI features are provided for informational and tracking purposes only.
• You are solely responsible for evaluating and acting on any AI-generated output.
• PBG Solutions LLC, its officers, employees, and affiliates are not liable for any decisions you make based on AI-generated content.

Always consult a qualified human professional (such as a licensed physician, registered dietitian, certified personal trainer, or licensed therapist) before making decisions about your health, training, nutrition, supplementation, injury treatment, or medical care.

If you are experiencing a medical emergency, call 911 or your local emergency number. Do not rely on the Service for emergencies.

You acknowledge these limitations every time you use AI features. Your continued use of AI features confirms your ongoing acceptance of this disclaimer.

7. Health and Fitness Disclaimer

PBG Fitness is a tracking and information tool. It is not a medical device, a diagnostic tool, or a treatment service.

You expressly acknowledge and agree to the following:

• The Service does not diagnose, treat, cure, or prevent any disease, injury, or medical condition.
• The Service is not intended as a substitute for professional medical advice, diagnosis, or treatment.
• Any workout program, meal plan, supplement suggestion, or recovery recommendation generated, displayed, or stored within the Service is informational only and is not a prescription.
• Physical exercise, dietary changes, and nutritional supplementation carry inherent risks, including but not limited to muscle injury, joint injury, cardiovascular events, allergic reactions, and other adverse effects.
• You assume all risk associated with any physical activity, diet, or program you undertake while using the Service.
• You should consult a qualified healthcare professional before beginning any new exercise program, changing your diet, or taking any supplement, especially if you have any medical condition, are pregnant or nursing, are recovering from injury or surgery, or are taking medication.
• If you experience pain, dizziness, shortness of breath, or any other symptom while exercising, stop immediately and consult a healthcare professional.

PBG Solutions LLC is not liable for any injury, illness, death, or other adverse outcome resulting from your use of the Service. By using the Service, you release PBG Solutions LLC, its officers, employees, contractors, and affiliates from all such liability to the fullest extent permitted by law.

8. Intellectual Property

The Service, including all software, designs, text, graphics, logos, icons, images, audio, video, and AI-generated outputs (excluding your User Content), is owned by or licensed to PBG Solutions LLC and is protected by United States and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms. This license terminates automatically if you violate these Terms or stop using the Service.

You may not copy, modify, distribute, sell, or lease any part of the Service or its content without our prior written permission.

9. Third Party Services

The Service relies on or integrates with third-party services, including Apple App Store, Google Play, Cloudflare, Anthropic, and Resend. Your use of those services is governed by their own terms and privacy policies. We are not responsible for the acts, omissions, or content of third parties.

10. Apple App Store and Google Play Specific Terms

If you obtained the application through the Apple App Store, you acknowledge that:

• These Terms are between you and PBG Solutions LLC, not Apple. Apple is not responsible for the application or its content.
• Apple has no obligation to furnish any maintenance or support for the application.
• In the event of any failure of the application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the application. To the maximum extent permitted by applicable law, Apple has no other warranty obligation.
• PBG Solutions LLC, not Apple, is responsible for addressing any claims by you or any third party relating to the application, including product liability claims, claims that the application fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection or similar legislation.
• PBG Solutions LLC, not Apple, is responsible for the investigation, defense, settlement, and discharge of any third-party intellectual property infringement claim related to the application.
• Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to your license to the application, and upon your acceptance of these Terms, Apple has the right (and is deemed to have accepted the right) to enforce these Terms against you.

If you obtained the application through Google Play, similar provisions apply with respect to Google.

11. Modifications to the Service

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We may also impose limits on certain features or restrict access to parts or all of the Service without liability. We will use reasonable efforts to notify you of material changes that significantly affect your use.

12. Termination

You may terminate your account at any time from within the Service. We may suspend or terminate your account at any time for any reason, including violation of these Terms, with or without notice. Upon termination:

• Your right to access the Service ends immediately.
• Your data is deleted in accordance with our Privacy Policy.
• Provisions of these Terms that by their nature should survive termination (including ownership, disclaimers, indemnification, limitations of liability, dispute resolution, and governing law) will survive.

13. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied. To the fullest extent permitted by law, PBG Solutions LLC disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, reliability, or completeness of any content, including AI-generated output. Any reliance you place on the Service is at your own risk.

14. Limitation of Liability

To the fullest extent permitted by law, PBG Solutions LLC, its officers, directors, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, use, or goodwill, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.

In no event shall our total cumulative liability to you for all claims arising out of or in connection with the Service exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) one hundred United States dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless PBG Solutions LLC, its officers, directors, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of or inability to use the Service
• Your User Content
• Your violation of these Terms
• Your violation of any rights of any third party
• Any decision you make based on AI-generated content
• Any injury, illness, or harm resulting from your physical activity, diet, or supplementation while using the Service

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of laws principles.

17. Dispute Resolution and Arbitration

Please read this section carefully. It affects your legal rights.

17.1 Informal Resolution

Before filing a claim, you and PBG Solutions LLC agree to attempt to resolve any dispute informally by contacting support@pbgfitness.com. We will attempt to resolve the dispute within 60 days of receipt.

17.2 Binding Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in Atlanta, Georgia, or via video conference at the arbitrator’s discretion. The arbitrator’s decision is final and binding.

17.3 Class Action Waiver

You and PBG Solutions LLC each agree that disputes will be resolved on an individual basis only. Class actions, class arbitrations, and consolidated proceedings are not permitted. You waive your right to participate in any class action against PBG Solutions LLC.

17.4 Exceptions

This arbitration provision does not prevent you or PBG Solutions LLC from seeking injunctive relief in court for intellectual property infringement, or from filing a claim in small claims court if eligible.

17.5 Opt Out

You may opt out of this arbitration provision by sending a written notice to support@pbgfitness.com within 30 days of first agreeing to these Terms. The notice must include your name, email address associated with your account, and a clear statement that you are opting out of arbitration.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms presented to you for specific features, constitute the entire agreement between you and PBG Solutions LLC regarding the Service.

18.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

18.3 No Waiver

Our failure to enforce any right or provision is not a waiver of that right or provision.

18.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms freely.

18.5 Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, internet or platform outages, and government actions.

18.6 Notices

We may provide notices to you by email, through the Service, or by posting on our website. You may provide notices to us at support@pbgfitness.com.

18.7 Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service before the changes take effect. Continued use of the Service after the effective date constitutes acceptance.
